1. Agreement to Terms

By purchasing, downloading, installing, or using GEO AgentReady ("the Software"), you ("Licensee") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not purchase or use the Software.

These Terms constitute a legally binding agreement between you and GEO AgentReady ("Licensor," "we," "our," or "us"), a product of mediaXtreme.

2. License Grant

2.1 Personal License ($199)

The Personal License grants the Licensee:

  • A non-exclusive, non-transferable license to install and operate ONE (1) instance of the Software on a single server
  • The right to manage up to ten (10) client brands
  • Access to basic reporting features
  • Email support

2.2 Agency License ($497)

The Agency License grants the Licensee:

  • A non-exclusive, non-transferable license to install and operate ONE (1) instance of the Software on a single server
  • The right to manage up to one hundred (100) client brands
  • Full white-label customization capabilities
  • PDF report generation
  • Priority support
  • Location spoofing and hallucination guard features

2.3 Developer License ($1,497)

The Developer License grants the Licensee:

  • A non-exclusive license to install and operate UNLIMITED instances of the Software
  • The right to resell the Software to end-users, subject to the conditions in Section 3
  • Full source code access
  • All features included in the Agency License
  • Dedicated support

3. Single-Instance Rule & Licensing Restrictions

3.1 Installation Limits

Personal and Agency Licenses are strictly limited to ONE (1) installation. "Installation" means a unique running instance of the Software on a server, virtual machine, or container environment. Running the Software on multiple servers, staging environments (beyond temporary testing), or providing the Software as a multi-tenant SaaS constitutes a violation of this license.

3.2 No Redistribution

Personal and Agency Licensees may NOT:

  • Redistribute, sublicense, rent, lease, or lend the Software to any third party
  • Share license keys, access credentials, or installation files with non-authorized users
  • Offer the Software as a hosted service (SaaS) to third parties where the third party directly interacts with the Software interface (unless using the white-label dashboard under the Agency License for client reporting purposes)

3.3 Developer Resale Terms

Developer Licensees who resell the Software must:

  • Ensure each end-user receives their own installation and license key
  • Not sell the Software at a price lower than $99 per end-user license
  • Not misrepresent the origin of the Software
  • Provide their own first-line support to their customers

4. Anti-Reverse Engineering

The Licensee shall NOT:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software (except for Developer License holders who receive source code access)
  • Modify, adapt, translate, or create derivative works based on the Software without written consent from the Licensor
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
  • Circumvent, disable, or interfere with any license verification, copy protection, or digital rights management mechanisms in the Software

5. AI-Related Disclaimer ("As-Is AI Clause")

IMPORTANT - READ CAREFULLY:

GEO AgentReady interacts with third-party AI platforms including but not limited to OpenAI (ChatGPT), Google (Gemini), Anthropic (Claude), Perplexity AI, and Microsoft (Copilot). The Licensee acknowledges and agrees that:

  • AI Platform Volatility: Third-party AI platforms may change their APIs, terms of service, scraping protections, response formats, and functionality at any time without notice. Such changes may temporarily or permanently affect the Software's ability to collect data from these platforms.
  • No Guarantee of Functionality: We do not guarantee uninterrupted access to any third-party AI platform. The Software's data collection capabilities are provided "AS IS" and depend entirely on the current accessibility and response behavior of third-party platforms.
  • Data Accuracy: AI-generated responses, citations, and visibility scores may be inaccurate, incomplete, or inconsistent. The Licensor is NOT responsible for decisions made based on AI-derived data.
  • Compliance Responsibility: The Licensee is solely responsible for ensuring their use of the Software complies with the terms of service of all third-party AI platforms being monitored. The Licensor does not warrant that the Software's data collection methods comply with all third-party terms.
  • Update Engine: The optional Auto-Update Engine subscription ($59/month) provides regular scraper updates to maintain compatibility with AI platform changes. Without this subscription, the Licensee is responsible for maintaining their own scraper compatibility.

6. Non-Compete / No Resale Restrictions

6.1 Personal and Agency License

Licensees under Personal and Agency licenses may NOT:

  • Resell, sublicense, or redistribute the Software or any portion thereof
  • Create a competing product based on, derived from, or substantially similar to the Software using knowledge gained from using the Software
  • Hire developers to replicate the Software's functionality for commercial distribution

6.2 Developer License

Developer Licensees may resell the Software as outlined in Section 3.3 but may NOT:

  • Create a competing product that directly replicates the Software's core functionality for mass market distribution
  • Use the source code to build and distribute a substantially similar product under a different brand
  • Provide the source code to end-users or resale customers (end-users receive compiled/packaged versions only)

7. B2B Purchase Agreement & Refund Policy

7.1 No-Refund Policy

Because GEOAgentReady provides immediate access to proprietary source code and the core scraping engine, all sales are final. We do not offer refunds once the license key has been issued or the script has been downloaded. By completing this purchase, you acknowledge that you are purchasing a B2B professional tool "as-is." Issues with server configuration or lack of technical expertise for installation do not qualify for a refund. Our priority support team is available to assist with deployment.

7.2 License & Hardware Locking

Each Agency License is locked to a unique Hardware ID (HWID) and primary domain. Sharing your license key or attempting to bypass the obfuscated security layers will result in an immediate and permanent ban from the update server without a refund. License resets (for moving to a new server) are limited to three (3) per year.

7.3 Auto-Update Subscription ($59/mo)

The Auto-Update Engine is a separate, recurring service that ensures your script stays compatible with the rapidly changing AI landscape (GPT-5, Gemini 3.0, etc.). Your first 3 months are included with your license. After the grace period, your card on file will be charged $59/month. You may cancel this subscription at any time to stop future billing; however, your scraper may lose functionality if a major AI engine update occurs and you are not running the latest version.

7.4 Payment

All license purchases are one-time payments processed through PayPal or authorized payment processors. Prices are in US Dollars (USD) unless otherwise stated. The Licensee is responsible for any applicable taxes.

8. Liability Disclaimer

GEOAgentReady is a monitoring and optimization tool. We do not control Google, OpenAI, or other third-party LLMs. We provide data and transparency into their systems but do not guarantee specific "ranking" results or the 100% accuracy of AI-generated content.

9. AI Hallucination Disclaimer

The Platform tracks third-party Generative Engines (GPT, Gemini, etc.). GEOAgentReady is not responsible for the accuracy of these engines. We provide data "as-is" and do not guarantee that AI search results will be correct or favorable.

10. Anti-Piracy

Unauthorized attempts to bypass the license heartbeat or redistribute the obfuscated code will result in immediate termination without refund.

This includes but is not limited to:

  • Sharing license keys with unauthorized parties
  • Attempting to deobfuscate or reverse-engineer the security layer
  • Distributing the Software on file-sharing or piracy platforms
  • Using cracked or patched versions of the Software

11. Service Interruption

AI platforms frequently change their architecture. GEOAgentReady makes a "Best Effort" to push updates via the $59/mo subscription. Temporary downtime during AI engine updates does not entitle the user to a refund.

12. Support

  • Personal License: Email support with 72-hour response time
  • Agency License: Priority email support with 24-hour response time
  • Developer License: Dedicated support with 12-hour response time and video call availability

Support covers installation issues, bug reports, and general usage questions. Support does NOT cover server administration, third-party integrations, custom development, or issues caused by unauthorized modifications.

13. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

14. Limitation of Liability

IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Software
  • Any conduct or content of any third party, including AI platforms
  • Any data collected, generated, or displayed by the Software
  • Unauthorized access, use, or alteration of your transmissions or content

THE LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY THE LICENSEE FOR THE LICENSE.

15. Intellectual Property

The Software, including all code, design, documentation, trademarks, and intellectual property, remains the exclusive property of the Licensor. The license granted herein does not transfer ownership of the Software.

Developer Licensees who receive source code access receive a license to USE the source code, not ownership of it.

16. Termination

This license is effective until terminated. The Licensor may terminate your license immediately and without notice if:

  • You violate any term of this agreement
  • You distribute the Software without authorization
  • You engage in reverse engineering (without Developer License source code access)
  • You attempt to bypass the license heartbeat or security mechanisms
  • You use the Software for illegal purposes

Upon termination, you must destroy all copies of the Software in your possession. Termination does not entitle you to a refund.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Licensor operates, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration.

18. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. Your continued use of the Software after changes constitutes acceptance of the new Terms. Material changes will be communicated via email to registered license holders.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Licensor regarding the use of the Software and supersede all prior agreements and understandings.
